Terms of Service

Last updated: 16 September 2026

These Terms and Conditions govern your access to and use of the services provided under the SwiftNinePay brand.

By applying for, accessing, or using our services, you confirm that you have read and agreed to these Terms and Conditions. If you are accepting these terms on behalf of a company or other organisation, you confirm that you have authority to bind that organisation.

1. About SwiftNinePay

SwiftNinePay provides services for e-commerce businesses, which may include payment processing support, payment-method access, sourcing, order fulfillment, customer support, fraud and risk controls, and dispute management.

The exact services provided to you will depend on your approved account, commercial agreement, selected services, operating markets, and any additional terms agreed between you and SwiftNinePay.

References to "SwiftNinePay," "we," "us," or "our" in these terms mean SwiftNinePay.

2. Eligibility

Our services are intended for legitimate businesses and authorised representatives acting for those businesses.

To use SwiftNinePay, you must:

  • Provide accurate and complete business information
  • Have authority to enter into an agreement on behalf of your business
  • Operate in markets and business categories we support
  • Comply with applicable laws and regulations
  • Complete any required identity, business, risk, or compliance checks.
  • We may decline an application where a business, product, transaction profile, jurisdiction, or other factor falls outside our requirements or those of our payment or service partners.

3. Onboarding and Verification

Before services are activated, we may require information about your company, directors, beneficial owners, website, products, suppliers, transaction history, expected processing volume, customer markets, fulfillment arrangements, and other aspects of your business.

You agree to provide accurate information and supporting documents when requested.

We may request updated information after onboarding where required for compliance, risk monitoring, payment-partner requirements, or changes to your business.

Providing false, incomplete, outdated, or misleading information may result in delayed onboarding, restricted services, suspension, or termination.

4. Our Services

Depending on your agreement with SwiftNinePay, services may include:

Access to supported payment methods and payment processing arrangements through SwiftNinePay and relevant third-party providers.

Order fulfillment

Supplier coordination, sourcing, packaging, shipping, tracking, customs-related support, and other agreed fulfillment services.

Dispute management

Customer support

Customer-service assistance for payment, order, delivery, or other supported enquiries.

Certain services may be provided directly by third parties. Their own terms, requirements, and restrictions may also apply.

5. Merchant Responsibilities

You remain responsible for your business, products, marketing, website, customers, and compliance with applicable law.

  • You must ensure that:
  • your products and services are lawful
  • product descriptions and advertising are accurate
  • pricing, refund, delivery, and cancellation terms are clearly shown to customers
  • customer orders are legitimate
  • required licences or permissions remain valid
  • your website contains any legally required policies and disclosures
  • you respond promptly when SwiftNinePay requests information about an order, customer, transaction, dispute, or compliance matter
  • you do not use our services for prohibited or undisclosed activities.

You must notify us before making a material change to your business model, products, markets, ownership, websites, transaction profile, or expected processing volume.

6. Restricted and Prohibited Activities

SwiftNinePay may restrict or refuse services for products, industries, transactions, jurisdictions, or business models that create unacceptable legal, financial, compliance, reputational, or operational risk.

You may not use SwiftNinePay for illegal goods or services, fraudulent activity, misleading sales practices, intellectual-property infringement, money laundering, sanctions evasion, or any activity prohibited by applicable law or our payment partners.

We may request additional information about specific products or transactions at any time.

7. Payment Processing

Payment processing is subject to approval and may involve banks, acquirers, payment processors, card networks, alternative payment providers, and other third parties.

Processing availability may depend on:

  • merchant risk profile
  • transaction history
  • customer location
  • payment method
  • currency
  • product category
  • chargeback or refund levels
  • regulatory requirements
  • requirements imposed by payment partners.

Availability of a payment method in one market does not guarantee availability in every market or for every merchant.

8. Settlement and Funds

Settlement timing and conditions will be defined in your commercial agreement or account terms.

Settlement schedules may be affected by weekends, bank holidays, payment-method rules, compliance reviews, disputes, refunds, payment-provider requirements, or other circumstances outside SwiftNinePay's reasonable control.

Where permitted under the applicable agreement and law, funds may be delayed, withheld, reserved, adjusted, or otherwise restricted where reasonably required to address fraud, chargebacks, refunds, compliance concerns, payment-partner requirements, or financial exposure.

Any specific settlement arrangement agreed with you will take priority over general website statements.

9. Fees and Charges

Fees are based on the commercial terms agreed with your business.

Depending on your arrangement, charges may relate to payment processing, customer support, dispute management, supply-chain services, fulfillment, operations, optional services, or other agreed activities.

You authorise SwiftNinePay to deduct amounts properly due under your agreement from settlements or other amounts payable to you where permitted.

Third-party costs, duties, taxes, network fees, penalties, or other charges may apply where stated in your agreement or caused by your transactions, products, customers, or business activity.

10. Refunds, Chargebacks and Disputes

You remain financially responsible for refunds, reversals, chargebacks, penalties, and related amounts arising from your transactions except where expressly agreed otherwise.

SwiftNinePay may assist with dispute management and evidence submission, but no particular dispute outcome is guaranteed.

You agree to provide requested evidence promptly, including order information, customer communications, tracking details, delivery confirmation, invoices, refund records, and other relevant documentation.

Where a chargeback, refund, or other adjustment creates an amount owed by you, that amount may be deducted from future settlements or otherwise recovered in accordance with your agreement.

11. Fulfillment and Suppliers

Where SwiftNinePay provides fulfillment or supply-chain services, we may work with approved suppliers, logistics companies, customs providers, and other third parties.

Estimated production, shipping, or delivery times are not guaranteed unless expressly agreed in writing.

Delivery can be affected by customs procedures, carrier delays, incorrect customer information, local regulations, weather, operational disruption, inspections, or circumstances outside our reasonable control.

You remain responsible for ensuring that the products you sell comply with the laws and requirements of the markets into which they are sold.

12. Account Monitoring

We may monitor account activity, payment patterns, disputes, refunds, customer complaints, delivery performance, products, websites, transaction volumes, and other information relevant to the services.

We may contact you where activity differs materially from the information provided during onboarding or where further review is required.

You agree to cooperate reasonably with these reviews.

13. Suspension and Restrictions

We may restrict or suspend some or all services where reasonably necessary because of:

  • suspected fraud
  • unusual transaction activity
  • excessive disputes or refunds
  • inaccurate information
  • compliance concerns
  • payment-partner requirements
  • prohibited activity
  • breach of these terms
  • failure to pay amounts due
  • legal or regulatory requirements.

Where appropriate and legally permitted, we will provide information about the reason for the restriction and what may be required before services can resume.

14. Third-Party Services

SwiftNinePay works with external payment providers, financial institutions, suppliers, carriers, technology providers, and other service partners.

We are not responsible for the independent acts or omissions of third parties where those matters fall outside our reasonable control.

Third-party services may be subject to additional terms, technical requirements, operating rules, availability conditions, or eligibility requirements.

15. Intellectual Property

SwiftNinePay and its licensors retain ownership of their websites, systems, software, documentation, branding, designs, content, and other intellectual property.

You may use materials provided by SwiftNinePay only as necessary to receive the agreed services.

You may not copy, sell, distribute, reverse engineer, misuse, or commercially exploit our intellectual property without written permission.

Your business retains ownership of its own trademarks, content, product materials, and other intellectual property.

16. Confidentiality

Each party may receive business, technical, financial, commercial, or operational information belonging to the other party.

Confidential information must be protected and used only for the purpose for which it was provided, except where disclosure is required by law, regulation, a court, payment partner, or competent authority.

These obligations continue after the business relationship ends where appropriate.

17. Data Protection and Privacy

Personal information will be handled in accordance with applicable data-protection requirements and our Privacy Policy.

Where SwiftNinePay processes personal information on behalf of a merchant, additional data-processing terms may apply.

You are responsible for providing any notices and obtaining any permissions legally required for customer information you provide to us.

18. Service Availability

We aim to maintain reliable services, but continuous or uninterrupted availability cannot be guaranteed.

Maintenance, third-party outages, banking systems, payment networks, carriers, technical failures, security events, regulatory action, or circumstances outside our reasonable control may temporarily affect services.

We may make reasonable changes to systems or operating procedures where necessary to maintain security, compliance, performance, or service quality.

19. Limitation of Liability

To the maximum extent permitted by applicable law, SwiftNinePay will not be liable for indirect, incidental, special, punitive, or consequential losses, including loss of profits, anticipated revenue, goodwill, or business opportunity.

Nothing in these terms excludes liability that cannot legally be excluded or limited.

20. Indemnity

You agree to be responsible for losses, claims, costs, penalties, or liabilities arising from your unlawful activity, breach of these terms, products, misleading customer representations, infringement of third-party rights, or failure to comply with applicable obligations.

Any indemnity will apply only to the extent permitted by law and the commercial agreement between the parties.

21. Termination

Either party may end the relationship in accordance with the notice requirements contained in the applicable commercial agreement.

SwiftNinePay may terminate services immediately where continued service would create unacceptable legal, regulatory, fraud, payment, financial, or reputational risk, or where you materially breach your obligations.

Termination does not remove obligations relating to transactions completed before termination, including outstanding fees, refunds, disputes, chargebacks, confidentiality obligations, or amounts due.

22. Changes to These Terms

We may update these Terms of Services to reflect changes to our services, operating requirements, payment-partner requirements, or applicable law.

The current version will be published on our website together with the date it was last updated.

Where a material change directly affects an existing contractual relationship, any notice requirements contained in the relevant commercial agreement will apply.

23. General Terms

You may not transfer your rights or obligations under these terms without our prior written consent unless your agreement states otherwise.

If there is a conflict between these website Terms and Conditions and a separately signed commercial agreement, the signed commercial agreement will take priority for the relevant services.
